Congrats $APHA and $TLRY longs! Shorts lost over $1 Billion in the last week shorting MJ across the board.
Is it too late to jump in some of you new investors might be asking? For $TLRY and $APHA, if I was in your shoes, I would buy chuncks of shares in intervals and average up buying at the lower portions.
To be honest, I have no idea how high these two companies are going to go up. However, I can tell you that the combined company will greatly exceed $CGC. So maybe you can use their stock price as a benchmark.
$TLRY Some time ago I posted the below to show that the merger is ironclad from Tilray's side. The most important sign was the conversion of Class-1 shares to the common Class-2 which removed control of Tilray from its founders. The differing prices between TLRY and APHA now ensures that the Aphria's side is also now ironclad.
The TLRY advance today was partially fueled by Aphria's earning data. In a few weeks, Tilray will report is earning. I expect that to show slightly EBITDA positive. That shows how the management of both companies have thought through what both companies need to do to show investors the value of the merged company. When Tilray switches over to Aphria's produced cannabis, profit will be clear.
As I posted elsewhere, the intrinsic value of the Aphria-Tilray company is at least US$28 on merger completion when compared to a similar company like Canopy. I think the TLRY share is heading that way, maybe ahead of schedule. Today is just the start. The combined Aphria-Tilray will be the largest cannabis company in the world and its valuation still has a long growth ahead.
----------------------- "Sep 30th 2020: Tilray converted all outstanding Class-1 shares (13,159,762) to Class-2. Each Class-1 share can vote 10 times while Class-2 just once. Holders of these shares are usually founders. They must have all agreed to the deal to let this happen.
Nov 20th 2020: Tilray converted $124.3M Convertible Notes to 10,932,222 shares.
Nov 23rd 2020: Tilray converted $72.9M Convertible Notes to 6,407,355 shares.
Nov 23rd 2020: Tilray reported 3Q2020 results. Adjusted EBITDA loss narrowed to $1.5M compared to $12.3M in 2Q2020. Average cannabis net selling price per gram was $6.15 with average net cost $4.23 per gram.
This merger had been in the work for about 10 months since 02/16/2020 before announced on 12/15/2020. Tilray did much work to clean up their balance sheet to ensure that the deal is advantageous to Aphria. Their founders giving up their Class-1 shares was a big sign of commitment.
Note also that Tilray was on the verge of being EBITDA positive. Once merged, the average net cost of $4.23 per gram would be reduced dramatically by using Aphria cannabis instead of buying from other producers. This means that the Tilray business would be accretive to Aphria bottom line."

ACB & $TLRY on fire today! ACRX now traded 56 million shares in 2 days, w/ a daily avg volume of about 1 million shares. ACRX is up 50% in 2 days, all eyes on ACRX. Why is ACRX trading so many shares?
Remember when $TLRY was $300.00 per share? The experts was saying that cannabis was the next Bitcoin. This is the perfect time for entry! The fundamentals are aligned. Buckle up! We are going for a ride!
Sold 30% of my shares today, took my gainz to TLRY. I’m lovin the volume over there. My analysis shows $TLRY target $115 by mid year. Waiting on a dip and I’ll buy a few more $VFF shares.🍅👌🏻
$TLRY Tilray used to have two classes of shares, both having the same monetary value but Class 1 with 10 times the voting power of Class2. Note the below from their most recent 10Q:
"On September 30, 2020, 13,159,762 shares of Class 1 common stock, constituting all of the shares of Class 1 common stock that were issued and outstanding, were automatically converted into shares of Class 2 common stock, as the Class 1 common stock ceased to represent at least 10% of the outstanding common stock. Prior to the conversion, the Company had authorized 250,000,000 shares of Class 1 common stock. Upon conversion, 16,666,667 were retired, leaving 233,333,333 shares authorized, par value $0.0001 per share. There are no shares of Class 1 common stock outstanding as of September 30, 2020."
Then, near the end of November, Tilray converted nearly C$200M convertible notes into stocks at about $C11.39 per share. That reduced the convertible debt by half. The point to note is that that conversion price was much higher than the stock price at that time. The note holders must have agreed to it with the expectation to recover their loss with later higher stock price.
Those Class 1 shares, if not converted to Class 2, would have had the power to veto the merger deal. Negotiations for the merger must be fairly advanced and certain at the end of September, 2020 for Tilray to let this happen. And, the effort to reduce debts was clearly to advance the terms of the negotiations at the time.
People who keep talking/hinting about shareholders not voting for this merger, get over it. This deal is done. It will be closed in 2Q2021.
